About the Role

We are searching for a driven, energetic and proactive lawyer to join our Corporate and Commercial group.

Promising direct partner mentoring, ongoing professional development and access to a diverse client base, this is a unique opportunity for an experienced Senior Associate to enjoy both a fulfilling and interesting legal career and a balanced lifestyle.

You will work closely with the Partners and play a lead role in the practice as part of a genuinely diverse and collaborative culture that values excellence, integrity, teamwork and respect for the value of the individual.

Work may include:

  • Advice on, and preparation of, commercial agreements including distribution agreements, joint ventures, manufacturing agreements, supply agreements etc
  • Business and company sales and acquisitions and shareholder agreements
  • General commercial contracts and transactions
  • Capital raisings
  • Corporate governance issues
  • Advising on trade practices, Corporations Act, ASX Rules and tax and stamp duty issues
  • Advising on intellectual property issues and disputes*, and
  • Intellectual property structuring and licensing*.

*Experience in these areas is desirable but not essential.

Key Duties and Responsibilities

  • Provide advice to clients on legal matters
  • Draft complex commercial legal documents
  • Develop and maintain strong professional working relationships with clients and demonstrate an ability to understand the commercial drivers of their businesses
  • Exhibit (and apply) an ability to understand, operate within and respond to change in complex legal procedures and areas of law, rules and regulations and professional standards
  • Develop relationships with clients and act as a trusted advisor by demonstrating an ability to understand the commercial drivers of their businesses
  • Supervise and mentor junior lawyers, and
  • Achieve performance targets in relation to time and billing.

Qualifications and Skill Base

  • LLB or equivalent with at least 8 years post admission experience
  • Admission as a solicitor in the relevant jurisdiction
  • Superior legal drafting skills combined with a high standard of presentation and quality of work
  • Able to work under minimal supervision while ensuring follow up is achieved in clarifying ongoing requirements within the group to changing deadlines
  • Ability to review priorities and work to operational deadlines
  • Excellent written and verbal communication and comprehension skills
  • Excellent time management and attention to detail
  • Able to think commercially
  • Proven ability to take independent action and follow through to the end.
