Patricia works primarily in the areas of corporate, commercial and taxation law. She takes an innovative and solutions-based approach in working with her clients by ensuring strong commercial outcomes in all transactions and advice.

Patricia is a legal practitioner admitted in Australia and in Brazil with over 7 years of experience in advising domestic and multinational clients on matters that include mergers and acquisitions, corporate governance, contract review, taxation and regulatory compliance. Immediately prior joining ClarkeKann, she worked as a solicitor at a Big Four firm providing corporate and commercial advice to clients across a broad range of industries. Patricia has also worked at the Business Law department of a well regarded Australian mid-tier firm and at a leading law firm in Brazil, where she assisted international corporate clients. She holds a Master in Corporate, Commercial and Taxation Law and has published articles on tax and trusts issues in the Taxation in Australia journal.

Patricia’s knowledge of business law is complimented by her dynamic approach and commercial acumen which enables her to deliver high quality actionable advice to businesses and high net worth individuals. Her areas of practice include:

  • Commercial contracts and transactions;
  • Restructures, domestic and cross-border M&A transactions and asset protection strategies;
  • Regulatory compliance in relation to corporate, employment and tax law matters;
  • Corporate governance review and risk management;
  • Legal management consulting to general counsels and in-house lawyers, and
  • General advisory services in relation to commercial matters, including intellectual property, privacy law and data breach management and protection.

Experience

Corporate & Commercial

  • Advising on an multi-million acquisition of an Australian renewable energy business by a Spanish entity.
  • Advising a Japanese entity on the acquisition of the life insurance department of one of the Big 4 Banks.
  • Providing pre-IPO advice to a privately owned engineering group, including by drafting all required policies and documentation required in preparation for the IPO.
  • Advising and implementing the restructure of a national privately owned construction and project management company held in a complex trust structure.
  • Advising on the sale of shares in trenches of a privately owned animation company.

Regulatory and Compliance

  • Advising on modern slavery requirements for large organisations.
  • Advising on implementation of whistle-blower policies for a major engineering company.
  • Undertaking external audit of corporate and governance matters of an aged care group.
  • Advising on data breach response and remediation plan for a major law firm.
