Profile

Paul has developed a reputation for providing strategic corporate and commercial advice to ASX listed companies and SME's, and is known for his commercial approach to the law.  In particular, Paul has a great understanding of the needs of media and technology companies, having been in-house counsel in these industries.

Prior to joining ClarkeKann, Paul:

• built his own corporate media and technology practice in Sydney and Melbourne over a 4 year period
• worked as a senior lawyer advising corporate, media and technology clients;
• was in-house counsel at a media company, a listed telecommunications company, and software developer, during which he was responsible for a wide range of commercial, regulatory and litigation matters.

Work Projects

Paul has acted on a range of matters including the following:

• Backdoor listing of a technology company, including prospectus issue and all commercial matters related to the company;
• Capital raising for various private companies such as a brewery, and software developers and licensors;
• All commercial matters relating to pay television company such as content acquisition, joint ventures, consumer terms;
• Sale of telecommunications company to listed company;
• Sale of 40% stake in advertising agency to listed company;
• Acting for large retailers on commercial matters such as franchising, leasing, media and advertising, trademarks;
• Licensing of software and ancillary agreements such as maintenance and support, development, customisation;
• Trademarks, copyright, registered designs and confidential information;
• Defamation, Trade Practices and advertising clearance for media companies and advertising agencies;
• Commercial disputes resolution including: litigation against a stock broker related to short selling, class action against directors of listed technology company; oppression of minority shareholders.

Professional Background

Paul holds a Bachelor of Arts and a Bachelor of Laws from Macquarie University in Sydney, including an exchange to Uppsala Universitet, Sweden where he studied International Law, and a Master of Laws (Commercial Law) from Monash University in Melbourne.
